🤝 Commercial Terms & Partnership Framework

1. Program Overview

Mattress Mart Plus is a curated commercial program for premium mattress brands offering selected SKUs under a no-discount, no-post-use-return model. The program prioritizes hygiene, price integrity, and sustainable profitability for brands.

Mattress Mart operates strictly as a marketplace facilitator, not as the seller of record.

2. Commercial Model

Standard Commission Structure

Mattress Mart Plus follows a simple, transparent commission model calculated on the net selling price (excluding GST).

  • Standard Commission: 25%

  • Commission applies uniformly unless an introductory or strategic rate is mutually agreed in writing.

Mattress Mart reserves the right to offer introductory partner rates (typically 20–22%) for a limited duration or limited SKU set during onboarding.

3. Marketplace Facilitator & Invoicing Model

  • Mattress Mart acts as a marketplace facilitator and payment collection agent.

  • The brand remains the seller of record at all times.

Payment & Invoicing Flow

  1. Customer places an order on the Mattress Mart platform.

  2. Customer payment is collected by Mattress Mart on behalf of the brand.

  3. The brand:

    • Ships the product to the customer

    • Issues a GST-compliant tax invoice directly to the customer

  4. Mattress Mart settles the collected amount to the brand after deducting agreed commission and applicable taxes.

Mattress Mart does not issue sales invoices to customers and does not assume seller liabilities.

4. What the Commission Covers

The commission includes:

  • Marketplace listing & infrastructure

  • Hygiene-first positioning and trust framework

  • Customer discovery & education

  • Expert-assisted sales support

  • Order management & coordination

  • Customer communication facilitation

Logistics, manufacturing, warranty, and statutory obligations remain the responsibility of the brand.

5. Pricing Integrity & Customer Value Commitment

Price Integrity

Brands participating in Mattress Mart Plus agree to:

  • Maintain transparent, stable pricing

  • Avoid artificial MRP inflation

  • Refrain from flash sales or deep-discount campaigns on Plus-listed SKUs

Customer Value Advantage

To encourage customer confidence and platform loyalty:

Brands agree that the price of Mattress Mart Plus SKUs listed on Mattress Mart shall be up to 2% lower than the price of the same SKUs listed on the brand’s own direct-to-consumer website.

Exclusions:

  • Brand-specific loyalty programs

  • Closed-user or employee discounts

Where direct price adjustment is not feasible, equivalent customer value may be offered through bundled accessories or service enhancements, subject to approval.

This clause does not restrict brand pricing across other channels.

6. Returns, Refunds & RTO (Commercial View)

  • Post-use returns are not permitted under Mattress Mart Plus.

  • Manufacturing defects are handled under brand warranty.

  • Transit damage or incorrect delivery is handled as per defined SOPs.

  • Refunds, where applicable, are processed directly by the brand.

Return-to-Origin (RTO)

  • COD RTO losses are borne by the brand.

  • Prepaid RTO handling is mutually agreed.

7. Payment Settlement Terms

  • Settlement cycles may be weekly, fortnightly, or monthly as agreed.

  • Commission invoices are raised by Mattress Mart.

  • Payment terms: 7–15 days from invoice date.

8. Taxes & Compliance

  • The brand is responsible for:

    • GST compliance

    • Issuing customer tax invoices

    • Statutory filings and declarations

  • Mattress Mart will:

    • Issue GST-compliant commission invoices

    • Maintain transaction records as required by law

9. Optional Marketing & Visibility Add-ons

Brands may opt into additional paid services:

  • Featured placements

  • Expert recommendation badges

  • Brand story or microsite pages

  • Hygiene certification badges

These services are optional and commercially independent of the base commission.

10. Exclusivity

  • Mattress Mart Plus is non-exclusive by default.

  • SKU-level or collection-level exclusivity may be discussed separately and documented in writing.

11. Onboarding & Exit

Onboarding

  • Brand KYC & documentation

  • SKU approval

  • Commercial agreement execution

  • Product listing & QA

Exit

  • Either party may terminate with 30 days’ written notice.

  • All pending orders, settlements, and obligations must be completed.

12. Brand Responsibilities

Brands agree to:

  • Maintain product quality & hygiene standards

  • Fulfill orders within agreed SLAs

  • Honor warranties and service commitments

  • Comply with applicable laws and regulations

13. Mattress Mart Responsibilities

Mattress Mart commits to:

  • Transparent commercial practices

  • Accurate product representation

  • Brand equity protection

  • Customer communication support

  • Confidential handling of brand data

Operational Service-Level Agreements (SLAs)

For Premium Sellers on MattressMart.in

Our Operational SLAs are designed to maintain a seamless, premium-grade experience for discerning shoppers and uphold Mattress Mart’s positioning as India’s most trusted luxury mattress marketplace. These standards ensure consistency, reliability, and an elevated customer experience aligned with global best practices.

1. Order Management SLAs

Order Confirmation

  • Timeline: Within 2 hours of order receipt.

  • Sellers must promptly acknowledge every order to ensure predictable fulfilment.

Order Dispatch

  • Standard Products: Within 24–48 hours.

  • Made-to-Order / Custom Sizes: Timeline must be pre-defined and honoured as committed on product listing.

  • Any anticipated delay must be proactively communicated to the MattressMart Operations Desk.

Order Handover

  • All shipments must be ready for pickup at the committed time slot.

  • Sellers must ensure secure, damage-proof handover to logistics partners.

2. Inventory & Listing Accuracy

Inventory Accuracy

  • Maintain a minimum 95% real-time accuracy.

  • All stock changes must be updated within 1 hour.

Listing Integrity

  • Product specifications (materials, firmness, dimensions) must always match actual delivered product.

  • Lifestyle images must not display logos or branding from competing platforms.

3. Customer Experience SLAs

Pre-Delivery Support

  • Any queries escalated by Mattress Mart must be acknowledged within 2 business hours.

  • Resolutions must be provided within 24 hours, unless technical verification is required.

After-Sales Support

(Handled by the brand directly as per our business model)

  • Seller must honour brand warranty processes and coordinate pickups or inspections within 48 hours.

4. Packaging & Quality Control

Packaging Standards

  • Adherence to showroom-grade or factory-standard packaging.

  • All packaging ordered from Mattress Mart must put The MM Trust Symbol!

  • Mattresses must meet compression/roll-packing or flat-packing norms as applicable.

  • Double-layer protection mandatory for monsoon-zone deliveries.

Quality Assurance

  • No visible dust, stains, or warehouse marks.

  • No wrong products delivered

  • Random QA audits may be conducted by Mattress Mart Quality Team.

5. Returns, Replacements & Refunds

Return Pickup Coordination

  • Initiate pickup within 48 hours of approval.

  • Ensure proper re-packaging guidelines are provided to customers.

Replacement Processing

  • Replacement approvals must be issued within 24 hours after item inspection SOP by the Brand.

Refund Processing

  • Refund approvals must be issued within 24 hours after item inspection at seller facility.

6. Payment Cycle

Pay-out Timelines

  • Standard pay-out cycle: T + 7 days post successful delivery.

  • Adjustments: Marketplace commission, payment gateway fee, and applicable penalties.

7. SLA Breach & Penalties

Delayed Dispatch

  • ₹200 per order or actual cost of re-coordination (whichever is higher).

Order Cancellation Due to Seller Fault

  • Penalty of 2% of the order value.

Incorrect Listing or Misrepresentation

  • Immediate listing suspension until rectified.

Repeated Violations

  • Three breaches within 30 days may lead to temporary delisting.

8. Communication & Transparency

  • Sellers must maintain active communication channels with Mattress Mart’s Operations Desk.

  • Shared WhatsApp group for real-time coordination is mandatory.

  • All communication must be professional, courteous, and solution-oriented.
